Overview
VitraMed, the health technology company founded by Mira Chakravarti's father Vikram, had grown rapidly from its origins as an electronic health records (EHR) optimization tool for small clinics. By the time of this case study, VitraMed served over 200 medical practices across the Midwest and was expanding into predictive health analytics — using patient data to generate risk scores, flag potential complications, and recommend interventions. The company's predictive models had shown promising results: early identification of patients at risk for hospital readmission had reduced 30-day readmission rates by 18% at participating clinics.
But the data practices that powered these models had outpaced VitraMed's consent processes. The company's patient consent form — a two-page document signed during the first clinical visit — had been drafted three years earlier when VitraMed was a simple EHR tool. It had never been updated to reflect the company's expanded use of patient data for predictive analytics, quality improvement research, or the de-identified data partnerships that VitraMed had begun exploring with pharmaceutical companies and academic researchers.
Mira, home from college for winter break and working part-time in VitraMed's office, was the one who spotted the problem.

The Situation
VitraMed's Data Practices
By winter of the current academic year, VitraMed's data ecosystem had grown to include several distinct categories of patient data use:
1. Core Clinical Operations. VitraMed's EHR platform stored patient records — diagnoses, medications, lab results, visit notes — and made them accessible to the patient's treating physicians. This was the original and most straightforward use of patient data, directly tied to the provision of medical care.
2. Predictive Analytics. VitraMed's data science team had developed machine learning models that analyzed patient records to generate risk scores — predictions about the likelihood of hospital readmission, medication non-adherence, or deterioration of chronic conditions. These scores were surfaced to physicians as "clinical decision support" alerts. The models were trained on historical patient data from VitraMed's entire database.
3. Quality Improvement Research. VitraMed analyzed aggregate patient data to evaluate clinical outcomes across its network. Which clinics had the lowest rates of preventable complications? Which treatment protocols produced the best results for type 2 diabetes management? This analysis used patient data in de-identified form but at a scale and for purposes that individual patients had not been told about.
4. Product Development. VitraMed's engineering team used patient data — stripped of direct identifiers but retaining clinical details — to develop, test, and refine new features. When building a new predictive model for cardiac risk, for example, the team trained the model on thousands of real patient records.
5. External Research Partnerships. VitraMed had begun exploratory conversations with a pharmaceutical company, Argenta Therapeutics, about a research partnership. Argenta was interested in accessing de-identified VitraMed patient data to study real-world outcomes for a cardiovascular drug. The partnership would generate revenue for VitraMed and, Argenta argued, contribute to medical knowledge. No data had been shared yet, but the legal team was drafting a data-sharing agreement.
The Consent Form
VitraMed's existing patient consent form read, in relevant part:
"I authorize VitraMed Health Technologies, Inc. to collect, store, and process my health information for the purpose of providing and improving healthcare services. I understand that my information may be used in de-identified form for research and quality improvement purposes. I understand that VitraMed maintains appropriate safeguards to protect my information in accordance with applicable law, including HIPAA."
The form was presented to patients during their first visit to a VitraMed-enabled clinic. A receptionist handed it to the patient along with a stack of other intake paperwork — insurance forms, medical history questionnaires, HIPAA acknowledgments — and asked them to sign before seeing the doctor. The form was signed by virtually every patient. No patient had ever refused.
Mira's Discovery
During her winter break, Mira was reviewing VitraMed's data governance documentation for a course project on health data ethics. She read the patient consent form and then compared it to a list of VitraMed's actual data practices. The gap was significant:
- The consent form mentioned "providing and improving healthcare services." It did not mention predictive analytics, risk scoring, or clinical decision support alerts.
- The consent form mentioned "de-identified" research and quality improvement. It did not mention product development, model training, or potential commercial partnerships.
- The consent form did not mention Argenta Therapeutics or any pharmaceutical company.
- The consent form did not explain what "de-identified" meant, what methods were used, or what residual re-identification risks existed.
- The consent form offered no options — no ability to consent to some uses while declining others. It was all or nothing.
Mira raised the issue with her father.
"Every patient signs this form," she told him. "But do they know what they're signing? Do they know their records are training machine learning models? Do they know we're in talks with a pharmaceutical company?"
Vikram's response was defensive but not dismissive. "The form was reviewed by our lawyers. It's HIPAA-compliant. And the work we're doing — the predictive models — saves lives. We reduced readmissions by 18 percent. Patients benefit from this."
"I'm not saying the work isn't valuable," Mira replied. "I'm asking whether patients know it's happening. There's a difference between compliance and consent."
The Analysis
Evaluating the Current Consent Process
Mira applied the three elements of informed consent from her coursework:
Disclosure. The consent form disclosed that VitraMed would collect health information for "providing and improving healthcare services" and might use de-identified data for "research and quality improvement." But these descriptions were so vague that a patient reading them would form a mental model far narrower than VitraMed's actual practices. "Improving healthcare services" could mean anything from fixing a software bug to training a machine learning model that predicts cardiac risk. "Research and quality improvement" could mean an internal audit or a partnership with a pharmaceutical company. The disclosure was technically accurate — nothing in the form was false — but it was not informative. It satisfied the letter of consent while failing its purpose.
Comprehension. The form was written at a reasonable reading level, but it was presented as one document in a stack of ten during a stressful medical visit. Patients signed it alongside insurance paperwork and HIPAA acknowledgments, in a context where signing is reflexive — you sign what the receptionist hands you because you want to see the doctor. No clinician explained the data practices. No one asked whether the patient understood. No one checked. Comprehension was not just absent; it was structurally impossible given the conditions under which consent was obtained.
Voluntariness. A patient who refused to sign the consent form would not be able to receive care through a VitraMed-enabled clinic — or would at least believe that to be the case, since the form was presented as part of mandatory intake paperwork. This is not a free choice. When the alternative to consent is the loss of medical care, consent is coerced by circumstance even if no individual applies direct pressure.
The Contextual Integrity Problem
Mira also analyzed VitraMed's data flows through the lens of contextual integrity. When a patient shares health information with their doctor, they do so within the context of a clinical relationship governed by strong norms: the information is shared for the purpose of treatment, the doctor owes duties of confidentiality and care, and the patient expects that the information will not leave the clinical context except as necessary for their care.
VitraMed's data practices involved several departures from these norms:
- From treatment to prediction. Using patient records to train predictive models transforms the purpose of the data from treating the individual patient to generating population-level insights. The patient shared their symptoms to get better; VitraMed used those symptoms to build a product.
- From clinical to commercial. Exploring a data partnership with Argenta Therapeutics introduces a commercial purpose that is entirely outside the norms of the clinical relationship. The patient shared health information with a doctor; a pharmaceutical company would use that information to evaluate a drug.
- From identified to "de-identified" (with caveats). VitraMed's de-identification removed direct identifiers (names, dates of birth, addresses) but retained detailed clinical information. As Mira knew from Chapter 1's AOL case, de-identification is not a guarantee of anonymity — especially for patients with rare conditions, unusual medication combinations, or small-town addresses that narrow the population.
Each of these transitions crossed a contextual boundary. The information was appropriate within the clinical context but potentially inappropriate when it flowed to predictive analytics teams, product development engineers, and pharmaceutical partners — even in de-identified form.
The Fiduciary Question
Mira's father made a reasonable argument: VitraMed's predictive models save lives. The 18% reduction in hospital readmissions is a genuine benefit to patients. Shouldn't patient data be used for purposes that improve patient outcomes?
This argument has force. But it raises the fiduciary question: Does VitraMed owe its patients duties beyond legal compliance? The information fiduciary model suggests that organizations that hold sensitive personal data — particularly health data — should be bound by duties of loyalty and care analogous to those of physicians. Under this standard, VitraMed could use patient data for purposes that benefit patients (clinical decision support, quality improvement) but could not use it for purposes that primarily benefit VitraMed or third parties (revenue-generating pharmaceutical partnerships) without genuine, specific consent.
The distinction is not between beneficial and harmful uses but between uses that serve the patient's interests and uses that serve the company's interests. Both may be legitimate, but only the former can proceed without explicit authorization under a fiduciary standard.
Mira's Proposal: A Layered Consent Model
After two weeks of research and internal conversations, Mira presented her father and VitraMed's leadership with a proposal for a redesigned consent process. The proposal had five components:
Component 1: Layered Consent Tiers
Instead of a single, all-encompassing consent form, VitraMed would present patients with four distinct tiers of consent:

Tier 3: Quality Improvement and Research "VitraMed may use your health records — with your name and identifying details removed — to study how well treatments work, improve our software, and train computer models that help doctors make better decisions. This helps future patients but does not directly affect your own care. You can choose whether or not to participate, and your choice will not affect the care you receive."
Component 3: Separate Timing
Instead of presenting all consent decisions during the first clinical visit — when patients are stressed, distracted, and motivated to see the doctor as quickly as possible — Mira proposed a phased approach:
- Tier 1 would be addressed during intake (it is necessary for the visit to proceed).
- Tiers 2, 3, and 4 would be presented through a follow-up conversation or digital portal within seven days of the first visit, giving patients time to read, reflect, and ask questions.
Component 4: Ongoing Consent Management
Patients would receive an annual "data practices summary" — a one-page document explaining what VitraMed had done with their data over the past year and offering the opportunity to change their consent settings. This would address the problem of stale consent — the reality that a consent given three years ago may not reflect the patient's current understanding or preferences.
Component 5: Consent for Argenta
The proposed Argenta Therapeutics partnership would require its own, separate consent process. Patients would be told: the name of the research partner, its status as a pharmaceutical company, the purpose of the study, what data would be shared, what de-identification methods would be used, and what the patient would receive (nothing, in this case — the partnership would generate revenue for VitraMed, not payments to patients). This consent would be entirely voluntary and could not affect the patient's access to care.
The Internal Debate
Mira's proposal generated significant internal discussion.
The legal team was cautious. VitraMed's general counsel, David Harmon, noted that the existing consent form was HIPAA-compliant and that adding layers of consent created operational complexity and legal risk. "Every additional consent decision is a place where a patient says no," he argued. "If half our patients opt out of Tier 3, our predictive models get worse. That affects care quality for everyone."
The data science team shared the concern. Dr. Priya Mehta, VitraMed's head of data science, pointed out that machine learning models require large, representative datasets. If consent was optional for model training, the resulting datasets might be biased — overrepresenting patients who consented and underrepresenting those who did not. This could introduce selection bias into VitraMed's predictive models.
Vikram acknowledged the tension. "Mira's right that our consent process is inadequate. But David and Priya are right that layered consent could degrade our models. We need to find a way to respect patient autonomy without undermining the clinical value of our analytics."
