The question is whether advisory governance is adequate when the decisions involve potential mass deployment of inaccurate surveillance technology in law enforcement contexts. Their answer — the answer implicit in the resignation — was no. For decisions of sufficient consequence, advisory input that can be accepted or ignored at the company's discretion is not an adequate ethical governance mechanism.
Expertise is not a substitute for authority. The Axon board was not lacking in relevant expertise. It included leading scholars in technology law, AI fairness research, civil liberties, and criminal justice. Their expert judgment that the technology was not safe for deployment was not overcome by superior technical analysis — it was simply not operationally controlling. This is the classic manifestation of the authority problem in advisory governance: the experts can be right, can communicate their views clearly, and can be heard — and still have no effect on the outcome.
The legitimization risk is real. The board members' concern about continuing to provide legitimacy to a process they believed was not genuine reflects a genuine ethical obligation for ethics board participants. People who lend their names and reputations to governance processes are vouching, implicitly, for the integrity of those processes. When the processes are not genuinely functioning as governance, continued participation becomes a form of misrepresentation. The appropriate response — resignation, with a public explanation — is uncomfortable but honest.
The timing of the moratorium is telling. Axon's facial recognition moratorium, announced after the resignation rather than in response to the board's concerns, reveals the actual leverage point in the governance process. Structure must follow substance. Axon created an ethics board of genuine experts with genuine concerns and with no authority to act on those concerns. Organizations creating AI ethics bodies should examine honestly what authority those bodies will have and what will happen when that authority is exercised. If the answer is that the ethics body will be able to recommend but cannot compel, and that recommendations will be weighed against commercial factors without any structural requirement to resolve the tension in favor of ethics, then the governance body being created is advisory in the most limited sense.
The Broader Pattern
The Axon case is one of the most visible examples of AI ethics board failure, but it is far from unique. The pattern — ethics board created, ethics board finds concerns, concerns not heeded, ethics board either dissolves or is dissolved — has recurred across the technology industry in various forms. Google's short-lived ATEAC (2019) is another example. IBM's AI Ethics Board has been criticized for operating primarily as a public relations function. Amazon's internal ethics review processes were reportedly overridden in decisions about Rekognition sales to law enforcement.
What is unusual about the Axon case is the transparency of the failure: nine prominent external experts chose to resign publicly and explain why. Most governance failures of this type are invisible — ethics concerns are raised, overridden, and never disclosed; ethics board members serve out their terms without publicly airing their frustrations; internal ethics reviewers' concerns are documented in internal memos that never see the light of day.
The visibility of the Axon case makes it particularly valuable as a governance teaching case. It shows, in unusually explicit terms, what the gap between governance structure and governance substance looks like — and it shows that people of integrity, when placed in ethics governance roles without adequate authority, will sometimes refuse to continue providing the appearance of oversight when the substance is absent.
Implications for Ethics Board Design
Organizations drawing lessons from the Axon case for their own ethics governance design should consider several specific implications.
Define authority before convening. What authority will the ethics board have? Can it delay deployment? Can it block deployment? Can it require remediation? Can it publicly disclose concerns? These questions should be answered explicitly, in writing, before the board convenes — not resolved on an ad hoc basis when the first consequential disagreement arises.
Create escalation paths. If the ethics board's recommendation is that deployment should not proceed, and the business unit disagrees, what is the escalation path? Who makes the final decision? Is there a structural mechanism that gives the ethics board's concerns meaningful weight in that decision, or does commercial judgment simply prevail?
Consider resignation protocols. In what circumstances can or should ethics board members resign? What notification and public disclosure are appropriate in those circumstances? Organizations that think carefully about this question in advance — acknowledging that it might happen and creating protocols for it — are taking ethics governance more seriously than those that assume the question will never arise.
Match authority to stakes. For lower-stakes AI applications, advisory governance may be adequate. For high-stakes applications — AI in criminal justice, medical diagnosis, benefits eligibility, employment decisions, financial access — the stakes may require governance structures with genuine decision-making authority. The appropriate governance architecture should be calibrated to the consequences of the decisions being governed.
