The nine-member body included some of the most respected names in technology ethics and civil liberties: academics from MIT and Harvard, former public officials, civil rights advocates. The company presented the board as a signal of serious intent. Axon was planning to expand into facial recognition technology, one of the most contested AI domains in existence, and it wanted to demonstrate that it would proceed thoughtfully, with expert guidance.

Six months later, the entire board resigned.

In a public statement, the departing members explained their decision: they had concluded that their concerns about Axon's facial recognition plans would not be heeded. They cited fundamental disagreements about the adequacy of the technology, the risks of deployment in law enforcement contexts, and the absence of meaningful authority to influence the company's direction. The board had been consulted, after a fashion. But the company, they believed, had already decided. The ethics board was, in their assessment, decoration rather than governance.

The Axon episode is not exceptional. It is symptomatic. Across the technology industry — and increasingly across finance, healthcare, manufacturing, and every sector now deploying AI systems — organizations have created ethics boards, published AI principles documents, and appointed Chief Ethics Officers. Some of these initiatives represent genuine attempts to wrestle with hard problems. Many represent something else: ethics as public relations, governance as theater, accountability structures that carry the vocabulary of responsibility without its substance.

This chapter examines what serious AI corporate governance looks like — and why most organizations have not yet achieved it. It is not a cynical chapter. There are genuine exemplars: organizations that have built governance structures with real authority, staffed them with diverse and independent voices, tied ethics requirements to actual development processes, and accepted the business costs that occasionally accompany principled decisions. These organizations deserve study. So do the failures.

The central argument of this chapter is that effective AI governance is not primarily a technical problem, a legal problem, or a communications problem. It is a power problem. Ethics boards that cannot say no are not ethics boards. Review processes that cannot delay or block deployment are not review processes. Principles documents that describe aspirations without specifying accountability are not governance. Getting AI governance right requires giving ethics real power — and that means giving it the authority to sometimes slow down, redirect, or stop AI development. That authority runs against significant financial, competitive, and cultural pressures. Overcoming those pressures is the central challenge of corporate AI governance.

Section 21.1: What Is Corporate AI Governance?

Defining the Territory

Corporate AI governance is the ensemble of internal structures, processes, policies, roles, and incentives through which an organization shapes how it develops and deploys artificial intelligence. It is, in essence, the answer to the question: who is responsible for making sure this organization's AI systems are developed and used well, and what authority do they have to enforce that responsibility?

That definition is deliberately broad, because AI governance is not a single function or a single document. It is a system — and like all organizational systems, it can be well-designed or poorly designed, adequately resourced or starved, empowered to act or structurally neutered. The difference between effective and ineffective AI governance often shows up not in what an organization says about its principles but in the mundane organizational details: where the ethics function reports, what authority it has to delay deployment, whether its staff has genuine technical depth or is primarily performing public communications, and whether the people who raise concerns face career risk or career protection.

Understanding AI governance requires understanding why existing corporate governance structures — mature, legally embedded, heavily resourced — were not designed for AI and cannot simply be extended to cover it.

Why AI Governance Requires New Structures

Corporate governance evolved to manage human decision-making at scale. Boards of directors oversee management. Audit committees review financial controls. General counsels manage legal risk. Compliance functions monitor adherence to regulations. These structures work, imperfectly but recognizably, because they are designed around the assumption that consequential decisions are made by identifiable humans who can be held accountable.

AI disrupts that assumption in several fundamental ways.

First, AI decisions are made at scale and speed that human oversight cannot match in real time. A credit scoring algorithm makes thousands of lending decisions per day. A content moderation system processes millions of posts per hour. A predictive policing tool generates risk scores continuously. No human reviewer can evaluate each decision as it happens. Governance must therefore operate upstream — in the design, training, testing, and deployment decisions that shape how the AI system will behave across all its future decisions — and downstream, through monitoring systems that detect patterns of problematic behavior after the fact.

Second, AI decisions are often made by systems whose behavior is not fully predictable even by the people who built them. Deep learning systems in particular generate outputs through processes that resist simple explanation. A model may behave appropriately in testing and develop problematic patterns in deployment as it encounters data distributions its designers did not anticipate. Governance must account for this irreducible uncertainty.

Third, accountability for AI decisions is diffuse. The data scientist who trained the model, the product manager who defined the use case, the engineer who integrated it into the product, the executive who approved deployment, the vendor who supplied the underlying platform — all of these actors contributed to the AI system's behavior. Existing corporate governance frameworks, which assign accountability to individuals and organizational units for defined decision domains, struggle to capture this distributed causation.

Fourth, the harms from AI decisions can fall on populations that have no representation in the organization's decision-making processes: applicants who are denied credit, defendants who are assigned high risk scores, job seekers whose resumes are filtered out. These affected populations are not shareholders, not employees, not customers in any traditional sense. They have no seat at the table. AI governance must create mechanisms to represent their interests.

The Three Pillars

Effective AI governance rests on three pillars, each of which is necessary and none of which is sufficient alone.

Accountability refers to the clear assignment of responsibility for AI systems and their outcomes. Someone must own each AI system — responsible for its design choices, responsible for the decision to deploy it, responsible for monitoring its performance, and answerable when it causes harm. Accountability without authority is hollow; people must have both the responsibility and the power to act on that responsibility.

Oversight refers to the independent review of AI systems by parties who are not primarily responsible for their development or commercial success. The value of independent oversight derives precisely from its independence: a reviewer who stands outside the team building a system can see problems that the builders, motivated by enthusiasm and investment, may not. Oversight can be internal (a separate ethics review function) or external (third-party auditors, regulatory review, public disclosure requirements), and effective governance typically incorporates both.

Enablement refers to the infrastructure that supports ethical AI development: technical tools for bias testing, documentation standards, training for engineers and product managers, clear guidance on what is permitted and what is not. Enablement recognizes that most AI practitioners are not adversaries of ethics; they simply lack the knowledge, tools, and guidance to navigate ethical complexity without support. Providing that support is a governance function as much as any enforcement mechanism.

The Board's Role

AI risk is now, unambiguously, a board-level issue. The legal, reputational, financial, and operational risks that AI systems can generate — from regulatory enforcement actions to discrimination lawsuits to public boycotts to catastrophic product failures — are material risks that fiduciary duty requires boards to oversee.

Yet most corporate boards remain poorly equipped for this oversight role. Director education programs have only recently begun to incorporate AI literacy. Board committee structures have not yet consistently assigned AI oversight to a specific committee with defined responsibility. The information flows that would allow boards to exercise meaningful AI oversight — regular reporting on AI risk, incident tracking, ethics review outcomes — are not yet standard board reporting.

This is changing, driven by regulatory pressure (the EU AI Act, SEC disclosure requirements), shareholder activism, and high-profile AI failures that have landed on board agendas. But the change is uneven, and most boards remain significantly behind the curve.

The Executive Layer

Between the board and the engineering teams, several executive roles shape AI governance.

The Chief Executive Officer sets the organizational culture that either welcomes or suppresses ethical concerns. The CEO who publicly commits to ethical AI but privately prioritizes speed to market sends a message that the entire organization reads accurately. Authenticity at the CEO level is not optional; it is foundational.

The Chief Technology Officer or Chief AI Officer typically owns the technical AI strategy, and their attitude toward ethics review — as a genuine quality function or as a bureaucratic burden — shapes how engineers experience it.

The Chief Ethics Officer, Chief Responsible AI Officer, or equivalent role is a relatively new addition to executive teams at technology-forward organizations. This role's effectiveness depends entirely on authority: a Chief Ethics Officer who sits in communications or public affairs and has no authority over product decisions is a communications role, not a governance role.

The General Counsel manages legal risk, which increasingly intersects with ethics risk as AI regulation matures. Legal and ethics functions must collaborate while maintaining their distinct mandates: legal compliance is a floor, not a ceiling, for ethical AI.

The Line Organization

Ultimately, AI governance must live in the line organization — in the engineers, data scientists, product managers, and their managers who make thousands of small decisions every day about data, model design, evaluation criteria, deployment scope, and edge case handling. Board oversight and executive commitment matter, but they cannot substitute for engineers who understand ethical implications and feel empowered to raise concerns.

This requires investment in training, clear operational guidance, accessible expert support, and — crucially — cultural norms that make raising ethical concerns a normal, valued part of professional practice rather than a career risk.

Section 21.2: The Ethics Board / AI Ethics Committee

Purpose and Mandate — The Power Question

The most important question to ask about any AI ethics board is not who sits on it. It is what authority it has.

An advisory board — one that hears presentations, asks questions, makes recommendations, and then watches the organization proceed with whatever it was going to do anyway — is not a governance body. It is a legitimacy mechanism. It allows the organization to say that it consulted ethics experts. Whether those experts' advice was heeded is a different matter, and the Axon case demonstrates exactly how that distinction plays out in practice.

A genuine ethics governance body has decision rights. At minimum, it has the authority to require that its concerns be addressed before deployment proceeds. At meaningful scale, it has the authority to delay or block deployment pending resolution of those concerns. At the strongest level, it has veto power over certain categories of AI decisions — the deployment of facial recognition in law enforcement, for example, or the use of AI in hiring decisions.

Most corporate AI ethics bodies, examined honestly, sit at the advisory end of this spectrum. The governance question — the one that determines whether an ethics body actually performs a governance function — is whether that changes when it matters. An advisory body whose advice is routinely heeded when stakes are low but overridden when commercial considerations are high is not functioning as governance. It is functioning as cover.

Composition: Who Should Be on an AI Ethics Body?

The composition of an AI ethics body reveals much about its function. An ethics body composed entirely of company employees, without external voices, lacks the independence that meaningful oversight requires. An ethics body composed entirely of external academics, without internal operational knowledge, lacks the contextual expertise to ask the right questions about specific systems.

Effective composition typically includes:

Internal members who bring knowledge of how the organization's AI systems actually work — data scientists who understand model behavior, product managers who understand deployment contexts, legal and compliance professionals who understand regulatory exposure, and increasingly, professionals focused on affected communities and fairness measurement. Internal members' value is their organizational knowledge; their limitation is their organizational embeddedness.

External members who bring independence and perspectives that internal members cannot. External members might include academic researchers in AI ethics, civil society representatives from communities affected by AI (civil rights organizations, disability advocates, consumer protection groups), former regulators with domain expertise, and ethicists with specific philosophical and applied expertise. External members' value is their independence; their limitation is their distance from the organization's specific technical and operational context.

Diversity matters across multiple dimensions. Expertise diversity — having ethicists, technical experts, social scientists, legal experts, and domain specialists — ensures that the body can identify problems that require different kinds of knowledge to see. Demographic diversity — including members from communities historically harmed by AI systems — ensures that the perspectives of affected populations are represented. Lived-experience diversity — having members who have personally experienced discriminatory systems, surveillance, or algorithmic harm — brings forms of knowledge that academic credentials alone cannot replicate.

The independence challenge is real: external members often lack the organizational access to understand what the company is actually building, while internal members face career incentives that may make forthright criticism difficult. Structural mechanisms — secure access to internal information for external members, anonymized reporting for internal members, explicit protection against retaliation — can mitigate but not fully resolve this tension.

Reporting Line

The question of who an ethics committee reports to is not an organizational formality. It determines whose interests the committee is structurally positioned to represent.

An ethics committee that reports to the CEO or board has the highest authority and the most structural independence from the business units it oversees. It is also, paradoxically, sometimes the most politically exposed: reporting directly to the CEO means the CEO can directly instruct, constrain, or dissolve the committee.

An ethics committee that reports to legal and compliance sits within a function that is itself sometimes in tension between legal minimums and ethical aspirations, and that may prioritize risk management over broader ethical impact.

An ethics committee that reports to engineering or product is structurally embedded in the function it is meant to oversee, creating obvious independence problems.

The strongest structures typically involve some form of direct board access — either a formal reporting relationship or a right to escalate concerns directly to the board — combined with operational independence from the business units being reviewed.

The Google AEAC — A Governance Case Study

In March 2019, Google announced the formation of an Advanced Technology External Advisory Council (ATEAC) — eight members, appointed to advise on questions of ethics and emerging technology. Within ten days, Google had disbanded the council.

The causes of failure were multiple and instructive. The appointment of Kay Coles James, president of the Heritage Foundation, which had opposed LGBTQ+ rights and climate science, drew immediate protests from Google employees and external commentators who questioned her relevance to AI ethics. One council member, Alessandro Acquisti, resigned in protest. Google, rather than addressing the controversy, dissolved the council entirely.

What the ATEAC episode illustrates is that standing up an external advisory body requires genuine deliberation about its composition, its mandate, and the organization's actual commitment to engaging with its outputs. Google formed the council quickly, under what appeared to be pressure to demonstrate ethical seriousness, without the careful foundational work that would have given it legitimacy and sustainability. When the predictable controversy arose, the organization lacked both the structural commitment and the political will to work through it.

Axon Ethics Board — A Second Case Study

The Axon case offers a different lesson. The Axon AI Ethics Board was not hastily assembled; it included genuinely serious people. The problem was not the composition but the authority. When the board concluded that Axon's facial recognition plans raised concerns serious enough to recommend against deployment, the company proceeded on its own trajectory. The board members concluded, collectively, that their participation had become legitimizing rather than governing — that their continued presence would signal that ethical oversight was occurring when it was not.

The board's public resignation statement is remarkable in its precision. They did not claim that Axon was malicious. They acknowledged the complexity of the issues. But they concluded that their concerns would not be translated into operational constraints, and that remaining on the board would therefore provide ethical cover for a process that was not genuinely ethical. The resignation was itself an act of governance integrity.

What Effective AI Ethics Bodies Look Like

The Partnership on AI — a multi-stakeholder organization including major AI companies, civil society organizations, and research institutions — provides one model of genuinely pluralistic AI ethics governance at an industry level. It produces research, convenes discussions, and establishes norms that its members (voluntarily) adopt.

DeepMind's Ethics & Society team, while primarily a research function rather than a governance body, demonstrates what serious internal investment in applied AI ethics looks like: significant resources, genuine technical depth, publication of findings that may be uncomfortable for the organization, and an explicit commitment to engagement with external researchers and affected communities.

The gap between these exemplars and typical corporate AI ethics bodies remains wide. Closing that gap requires organizational will, structural investment, and the acceptance that genuine ethics governance will sometimes produce answers that complicate business plans.


Section 21.3: The Responsible AI Function

What Dedicated Responsible AI Teams Do

Beyond governance bodies that meet periodically to review decisions, many organizations have created dedicated responsible AI (RAI) functions — teams that work continuously on the day-to-day practice of ethical AI development. These teams are the operational infrastructure of AI governance, translating principles and committee decisions into actual development practice.

A mature responsible AI function typically performs several distinct activities. It develops and maintains the organization's AI ethics framework: the specific standards, tools, and processes that translate high-level principles into operational requirements. It conducts or supports pre-deployment review of AI systems, evaluating proposed systems against ethical criteria before they are released. It develops and maintains technical tools for bias measurement, fairness evaluation, and harm detection. It provides training and guidance to engineers, product managers, and other practitioners who need to navigate ethical complexity. It monitors deployed systems for emerging problems. And it engages with external stakeholders — regulators, civil society organizations, researchers — to bring outside perspectives into the organization's thinking.

This is a demanding set of functions that requires a diverse team. Technical depth — the ability to examine model behavior, interrogate training data, and understand how specific design choices produce specific outputs — is essential but insufficient. Responsible AI work also requires expertise in law and regulation, social science methods for understanding community impacts, domain expertise in the application areas where AI is being deployed, and often direct engagement with affected communities.

Organizational Placement

Where a responsible AI function sits in the organizational chart is not merely a reporting formality — it shapes what the function can accomplish.

A responsible AI team housed within engineering has access and proximity. Engineers are more likely to engage with colleagues than with external reviewers. But embedding ethics within engineering creates conflicts of interest: the team is simultaneously responsible for building things quickly and for identifying reasons not to build them or to build them differently. When the pressure is on to ship, the engineering chain of command may override ethics concerns.

A responsible AI team housed within legal gains the protection that legal function has traditionally enjoyed — lawyers' advice is taken seriously, and there are institutional norms around consulting legal before making significant decisions. But legal's framework is compliance — meeting legal requirements — while ethics requires asking whether legal requirements set the right standard, which sometimes they do not.

A responsible AI team that reports directly to a C-level executive (CEO, Chief AI Officer, or designated Chief Ethics Officer) with cross-organizational authority has the most structural independence. This placement allows the team to engage with AI systems across the organization without being subordinate to the business units it reviews. It is also politically the most demanding: the team must maintain relationships across the organization while sometimes delivering assessments that the business finds unwelcome.

The Capacity vs. Authority Trade-Off

Two failure modes are common in responsible AI functions, and they pull in opposite directions.

The first is insufficient capacity: teams that are asked to review the organization's AI portfolio with far too few staff, too little technical access, and too little time. A team of five responsible AI reviewers attempting to cover an organization that deploys hundreds of AI systems is not providing genuine oversight; it is providing the appearance of oversight. The math simply does not work. Organizations that are serious about responsible AI must invest in the function at a level commensurate with the scope of their AI deployment.

The second failure mode is insufficient authority: teams with adequate staff but no ability to act on their findings. A responsible AI team that can identify problems but cannot delay deployment, cannot require remediation before launch, and cannot escalate concerns to decision-makers who will act on them has no practical governance function. This is perhaps the more pernicious failure mode because it creates a more elaborate appearance of governance while being equally ineffective.

Pre-Deployment Review

A pre-deployment review process — sometimes called an algorithmic impact assessment, AI ethics review, or similar — is the mechanism through which governance is operationalized at the system level. Before an AI system is deployed, it is reviewed against ethical criteria: fairness and non-discrimination requirements, transparency and explainability requirements, privacy requirements, safety requirements, and requirements specific to the application domain.

Effective pre-deployment review is substantive rather than procedural. A procedural review asks "did someone complete the review form?" A substantive review asks "does this system actually meet our ethical standards?" The difference matters enormously. Organizations under pressure to deploy quickly have strong incentives to make review processes more procedural — to create checklists that can be completed rapidly without genuinely interrogating whether the system is ready for deployment.

Substantive review requires that reviewers have access to the technical details of the system — the training data, the model architecture, the evaluation methodology, the deployment context — and the expertise to evaluate them critically. It requires clear standards against which to evaluate, so that reviewers know what they are looking for. And it requires authority to act on findings: to require remediation before deployment, or to block deployment if problems cannot be resolved.

Red-Teaming

Red-teaming — borrowed from security research — is structured adversarial testing in which reviewers attempt to elicit harmful, biased, or unintended outputs from an AI system. In cybersecurity, red teams attempt to break into systems using the same techniques that malicious actors would use. In AI ethics, red teams attempt to surface behaviors — discriminatory outputs, harmful content generation, privacy violations, manipulative patterns — that the AI system produces in edge cases or under adversarial conditions.

Red-teaming is particularly valuable because it looks for problems that standard evaluation methodology may not find. Standard evaluation tests a model against a benchmark dataset under typical conditions. Red-teaming deliberately seeks out atypical conditions, adversarial inputs, and population-specific harms that average-case evaluation conceals. A model that performs well on standard fairness benchmarks may still produce deeply problematic outputs in specific contexts that red-teaming can identify.

Model Cards and Impact Assessments

Model cards — a documentation standard developed by researchers at Google — provide standardized documentation of AI models' intended use cases, performance characteristics, limitations, and ethical considerations. A model card for a facial recognition system, for example, would document the demographic distributions in the training data, performance accuracy across demographic groups, intended and prohibited use cases, and known limitations.

Model cards serve a governance function by creating accountability: they require the development team to document their choices and their limitations, which makes it possible for others to evaluate whether the system is appropriate for a particular use and to identify gaps between stated limitations and actual deployment.

Algorithmic impact assessments (AIAs) go further, examining not just the model but the deployment context: how will the system be used, by whom, to make what decisions, with what consequences for which populations? The AIA is to AI governance what the environmental impact assessment is to infrastructure planning — a systematic requirement to understand consequences before they are locked in.


Section 21.4: AI Policy and Principles — From Words to Action

The Proliferation Problem

Since roughly 2016, the number of AI principles documents, ethical AI frameworks, and responsible AI commitments published by corporations, governments, and international organizations has grown dramatically. By most counts, several hundred such documents exist, representing tech giants, consulting firms, national governments, multilateral bodies, and professional associations. The proliferation itself is a governance signal — it indicates broad recognition that AI raises ethical issues demanding structured response.

But proliferation also creates a specific risk: that the publication of principles becomes a substitute for the practice of ethical AI, rather than a foundation for it. When every major AI company has published a set of ethical principles and many of those companies continue to deploy systems that cause measurable harm, something has gone wrong in the relationship between words and action. That something is the ethics washing problem.

Ethics washing — also called ethics theater or AI ethics-washing — refers to the practice of using the vocabulary and structures of ethical commitment (principles documents, ethics boards, responsible AI teams) to signal seriousness without making the substantive changes in products, processes, and incentives that genuine ethical practice requires. Ethics washing is not always cynical; it sometimes represents genuine aspirational commitment that has not yet been translated into operational practice. But whether cynical or merely aspirational, it is governance failure.

What Makes a Principles Document Substantive

The gap between performative and substantive AI principles documents can be diagnosed across several dimensions.

Specificity is the first test. Vague principles — "we are committed to fairness," "we respect human dignity" — are compatible with almost any practice. They cannot fail, because they cannot be measured against any concrete standard. Substantive principles are operational: they specify what fairness means in the context of specific types of AI decisions, what processes must be followed to assess whether a system meets those requirements, and what remediation is required when it does not.

Accountability is the second test. A principles document that does not specify who is responsible for implementing each principle, and who bears accountability when principles are violated, is an aspiration statement rather than a governance document. Accountability requires named roles, defined decision rights, and mechanisms for escalating concerns when accountable parties fail to meet their responsibilities.

Enforcement is the third test. What happens when an AI system is deployed that violates the organization's stated principles? Is there a defined consequence — mandatory review, required remediation, delayed deployment, rejected product launch? Or are principles simply aspirational, with no mechanism for addressing violation? Organizations that have answered this question with concrete enforcement mechanisms have moved from principles to governance.

Review and updating is the fourth test. AI ethics is not a solved problem, and the landscape — technical capabilities, social understanding, legal requirements, stakeholder expectations — changes rapidly. Principles documents that were written in 2018 and have not been materially updated are not keeping pace with the field. Genuine governance frameworks include mechanisms for periodic review and updating.

Microsoft's Responsible AI Standard

Microsoft's Responsible AI Standard, first published in 2022 and regularly updated, is one of the most detailed operational AI ethics frameworks produced by a major technology company. It translates Microsoft's six AI principles — fairness, reliability and safety, privacy and security, inclusiveness, transparency, and accountability — into specific, measurable requirements for AI systems at every stage of development and deployment.

The standard specifies not just what Microsoft commits to but how: what testing must be performed, what documentation must be completed, what review processes must be followed, and what exceptions require elevated approval. It is, in other words, an operational document rather than an aspirational one — one that engineers, product managers, and reviewers can use to evaluate specific decisions against specific criteria.

The Microsoft case is instructive not because the standard is perfect — no such document can be — but because it represents a genuine attempt to close the gap between principles and practice. The development of the standard involved significant internal work to translate abstract commitments into concrete engineering requirements, a translation that is more difficult than it sounds and that many organizations skip.

The Case of Google's AI Principles

Google published its AI Principles in June 2018, following significant internal and external controversy over the company's Project Maven — a contract with the Department of Defense to apply AI to drone footage analysis. The principles articulated seven things Google would pursue and four things it would not do, including developing AI "for use in weapons or other technologies whose principal purpose or implementation is to cause or directly facilitate injury to people."

The subsequent years tested these principles severely.

Project Maven: Google ultimately did not renew its Project Maven contract, in part due to employee protest. But the initial decision to accept the contract, and the handling of employee objections, revealed tensions within the organization about how seriously the principles would constrain business decisions.

Project Dragonfly: Internal documents revealed that Google had been developing a censored search engine for the Chinese market — a project that raised serious concerns about surveillance, censorship, and complicity in human rights violations. Google employees signed a letter demanding transparency; the project was eventually shelved, but the episode raised questions about whether Google's principles would be applied consistently to all business opportunities.

The Timnit Gebru firing: In December 2020, Timnit Gebru, co-lead of Google's Ethical AI team, was fired after refusing to retract a research paper about the risks of large language models. Organizations Buy More AI Than They Build

A common misconception about corporate AI governance is that it is primarily about the AI systems an organization builds. In reality, most organizations — and virtually all non-technology organizations — use far more AI than they create. They purchase AI-powered software from enterprise vendors, integrate AI capabilities through APIs and cloud services, and deploy third-party AI tools across hundreds of organizational functions. Human resources software uses AI to screen resumes. Financial services firms use AI-powered fraud detection from third-party providers. Hospitals use AI imaging analysis tools from medical technology companies. Retailers use AI-driven demand forecasting from logistics software vendors.

This creates a critical governance gap: organizations that have established responsible AI principles for their own development often apply no equivalent scrutiny to AI systems they purchase. The governance vacuum in procurement is substantial, and the consequences are real. When a third-party AI hiring tool discriminates against protected groups, the organization using it is legally and ethically exposed — regardless of whether the organization built the tool.

AI Vendor Due Diligence

Responsible AI procurement begins before the purchase: with due diligence on potential AI vendors that asks substantive questions about how those vendors develop and validate their AI systems.

What training data does the system use, and what steps have been taken to identify and mitigate bias in that data? What demographic subgroup performance data is available, and is it provided at a granularity sufficient to identify disparate impact? Has the system undergone independent third-party bias auditing, and if so, by whom, using what methodology? What is the vendor's incident disclosure policy — will they inform the customer if a significant bias or performance problem is discovered post-sale? What data does the system collect and retain, and how is that data used?

These questions are not exotic; they are analogous to the financial due diligence questions that organizations routinely ask of vendors in other domains. The challenge is that many AI vendors cannot yet answer them — because they have not done the testing, generated the documentation, or established the incident response processes that would allow them to answer honestly. An AI vendor that cannot answer basic questions about subgroup performance or bias testing is a vendor that cannot demonstrate that its system meets minimum ethical standards.

Contractual Provisions

Contractual AI governance can extend due diligence commitments across the vendor relationship. Contracts with AI vendors should include audit rights — the right to conduct or commission independent audits of the AI system's performance and fairness. They should specify disclosure obligations — the vendor must notify the customer within a defined timeframe of any discovered bias problems, performance degradations, or incidents involving the AI system. They should specify data practices — how data generated by the customer's use of the AI system is used by the vendor. And they should specify remediation requirements — what happens if the system is found to not meet the agreed standards.

The EU AI Act's requirements for high-risk AI systems include documentation and transparency requirements that will inevitably shape vendor-customer contracts for AI systems sold into the EU market.

The argument that "we trusted our vendor" is unlikely to be accepted by regulators or courts as an adequate defense.

Government procurement of AI has become a significant governance frontier, with federal, state, and local governments increasingly purchasing AI systems for consequential public functions: benefits eligibility determination, predictive policing, child welfare risk scoring, immigration screening. The stakes in public sector AI deployment are particularly high, because these systems affect people who often have limited ability to contest the decisions made about them and who are frequently from the communities most historically harmed by discriminatory government action.

The US federal government has developed AI acquisition guidance through the Office of Management and Budget and the General Services Administration, addressing requirements for AI risk management, transparency, and human oversight in federal AI procurement. The EU's AI Act imposes specific requirements on public sector AI deployment, including mandatory human oversight for high-risk applications in areas including law enforcement, migration, and critical infrastructure.


Section 21.6: Data Governance as AI Governance

The Data Foundation

AI ethics governance that does not address data governance is incomplete in a fundamental way. AI systems learn from data. The biases, gaps, misrepresentations, and consent problems in training data are faithfully reproduced — and often amplified — in the behavior of AI systems trained on that data. An organization that is meticulous about model fairness testing while neglecting to examine whether its training data fairly represents the populations about whom it is making decisions has missed the most fundamental point.

Data governance for AI includes several interrelated concerns.

Data Documentation

Knowing what data an organization holds, where it came from, what it represents, and what consent framework governed its collection is foundational to data governance. For AI specifically, this requires documentation not just of stored data but of training datasets: their composition, collection methodology, demographic representativeness, known limitations and gaps, and the consent architecture under which the data was collected.

The concept of datasheets for datasets — proposed by Timnit Gebru and colleagues — applies the model card concept to datasets: standardized documentation that describes a dataset's composition, collection methodology, intended uses, and limitations. Like model cards, datasheets serve a governance function by requiring explicit documentation of choices that are otherwise implicit and invisible.

Many AI training datasets are composed of data that was originally collected for different purposes. Images scrapped from the web were posted by people who did not intend them to train facial recognition systems. Medical records collected for treatment purposes were incorporated into AI diagnostic training datasets under research exemptions that patients may not have anticipated. Social media posts gathered for content moderation were used to train sentiment analysis models.

The consent architecture of AI training data — what data subjects actually agreed to, as distinct from what organizations have legally construed them to have agreed to — is a significant and unresolved ethical question. Organizations committed to genuine ethical data governance apply a standard that goes beyond legal minimum consent: asking whether data subjects would reasonably expect their data to be used in this way, and whether the AI application they're enabling is within the reasonable expectations of the people whose data was collected.

GDPR's Right to Erasure and Its AI Implications

The General Data Protection Regulation's right to erasure — the right to have personal data deleted upon request — creates a complex technical and legal problem for AI governance. When personal data has been used to train an AI model, deleting the data from storage does not delete the model's learned parameters, which may encode information about the training data. "Machine unlearning" — techniques for removing specific data from trained models — is an active research area, but current techniques are limited and computationally expensive.

This tension between GDPR's erasure right and the technical realities of machine learning has not yet been fully resolved in regulation or case law, but it represents a live compliance risk for organizations that use personal data in AI training. This creates significant regulatory complexity. GDPR adequacy decisions govern which countries can receive personal data from the EU without additional safeguards. The EU-US Data Privacy Framework, following the invalidation of Privacy Shield, created a new mechanism for EU-US data transfers but remains contested and potentially vulnerable to future legal challenge.

Organizations building global AI systems must map data flows carefully and maintain current awareness of the regulatory status of cross-border transfer mechanisms — a task that requires both legal expertise and operational data management discipline.


Section 21.7: Incentive Structures and Culture

The Fundamental Governance Problem

Every section of this chapter has described governance structures — boards, committees, teams, processes, documentation requirements — as if the primary challenge were organizational design. But the most fundamental challenge in AI governance is not design. It is incentive alignment.

Organizations are built to achieve their core objectives, which in commercial entities typically means revenue growth, market share expansion, and competitive position. AI development within these organizations is incentivized by the same objectives: ship faster than competitors, maximize user engagement, reduce costs, capture data, build network effects. These incentives are powerful, continuous, and embedded in the performance management systems that determine career advancement and compensation.

Ethical AI requirements frequently conflict with these incentives, at least in the short term. A bias testing requirement adds time to the development process. A pre-deployment review may require changes that delay launch. A data minimization requirement may reduce the volume of data available for model improvement. A vendor due diligence process adds cost and friction to procurement. None of these requirements is incompatible with commercial success in the long run — organizations that deploy discriminatory AI systems face regulatory, legal, and reputational consequences that are far more costly than the ethics investments required to prevent them. But in the short term, the pressure to ship is constant and the ethics friction is visible, while the avoided harms are speculative.

OKRs, KPIs, and What Gets Measured

The technology industry's widespread adoption of Objectives and Key Results (OKRs) as a performance management framework creates a specific AI ethics governance challenge. OKRs are designed to focus organizational effort on measurable objectives: active users, revenue, latency, engagement rate. These are valid organizational objectives. They are also objectives that AI systems can optimize against in ways that cause harm: maximizing engagement can mean maximizing outrage; minimizing latency can mean skipping safety checks; growing active users can mean exploiting vulnerable populations.

Embedding ethical AI requirements into OKRs and KPIs is both possible and necessary. Organizations have begun requiring that AI fairness metrics — measured demographic performance gaps, bias testing results, affected-community satisfaction — be included in the performance metrics for AI products and teams. This changes the incentive structure: engineers and product managers whose OKRs include fairness metrics have a professional interest in meeting those metrics, just as they have a professional interest in meeting performance and reliability metrics.

Integrating ethics into individual performance management — not just team-level OKRs — is a more demanding and more powerful form of incentive alignment. If engineers are evaluated partly on their contribution to ethical AI practice — their engagement with ethics review processes, their documentation of model limitations, their proactive identification of potential harms — ethics becomes part of professional identity and career advancement rather than an external constraint.

This integration requires that managers be trained to evaluate ethical AI contributions, which requires that managers have sufficient AI ethics literacy to make those evaluations meaningfully. It requires that performance criteria be clear enough to assess — vague expectations like "demonstrate ethical AI commitment" are not actionable — and that exemplary ethical practice be visibly rewarded.

Psychological Safety and the Ethics-Dissent Connection

The governance structures described throughout this chapter will only function if the people who work within them feel safe raising concerns. An engineer who sees a potential bias problem in a model but fears that raising it will slow the project, annoy the team lead, and disadvantage them in the next promotion cycle will not raise it. An ethics reviewer who identifies a significant problem in a pre-deployment review but fears that blocking the launch will make them persona non grata with the business unit will be tempted to accommodate rather than escalate.

Psychological safety — the belief that one can speak up, raise concerns, and challenge existing plans without facing career consequences — is not just an organizational niceness. It is a governance prerequisite. Chapter 22 addresses psychological safety and ethical dissent in depth.   • Leadership who acknowledge publicly when AI systems have caused harm and describe the remediation taken
  • Pre-mortems and ethics reviews that are described by participants as substantive rather than procedural
  • Ethics committee recommendations that are visibly acted on, and explanations provided when they are not

Indicators of an unhealthy AI ethics culture include the inverse of all of these: engineers who describe ethics concerns as professionally risky, ethics reviews that are described as box-checking, leadership who attribute AI harms to users or regulators rather than organizational choices, and ethics bodies whose recommendations are routinely ignored.


Section 21.8: Board-Level AI Governance

Why AI Is a Board Issue

Corporate boards exercise fiduciary oversight on behalf of shareholders and, in the broader stakeholder governance models increasingly adopted in major jurisdictions, on behalf of other constituencies as well. Fiduciary duty requires boards to understand and oversee material risks — and AI has become a source of material risk across every industry that deploys it.

The risk categories are multiple and interconnected. Regulatory risk: AI systems that violate anti-discrimination law, data protection regulation, or sector-specific AI requirements create liability that can be financially significant. Reputational risk: AI failures — discriminatory outputs, privacy breaches, safety incidents — generate public and media attention that can damage brand value and customer trust in ways that are difficult to quantify but clearly material. Operational risk: AI systems that fail, behave unexpectedly, or are weaponized by adversaries can disrupt core business operations. Strategic risk: organizations that deploy AI irresponsibly may face regulatory restrictions on their AI deployment that constrain their competitive position.

Each of these risk categories falls squarely within the scope of board oversight. The question is not whether boards should oversee AI risk; it is how.

Board Committee Structure

Most boards address AI governance through existing committee structures rather than creating a dedicated AI committee. The audit committee — which oversees financial reporting, internal controls, and increasingly cybersecurity — is the most common locus of AI risk oversight, given AI's relationship to both financial risk and technology risk. Risk committees at financial institutions increasingly include AI risk alongside other enterprise risk categories. Some boards have created technology committees that include AI governance within a broader technology oversight mandate.

A small but growing number of major technology companies have created dedicated board-level AI governance committees or have added AI expertise requirements to director nomination criteria. Microsoft, Google, and Meta have each faced shareholder pressure around AI governance that has shaped board committee structures and disclosure practices.

Director Education and AI Literacy

A board cannot meaningfully oversee AI risk that it does not understand. Director education in AI has historically lagged behind the technology's deployment; boards with no director who has meaningful AI expertise are common even among organizations that are significant AI deployers.

This is changing, driven by regulatory pressure, shareholder activism, and the simple visibility of AI failures that have reached board agendas. Director education programs from major governance organizations — NACD, Spencer Stuart, and academic institutions offering director education — have expanded their AI literacy curricula. But the gap between director AI literacy and the sophistication of AI systems being deployed at many organizations remains significant.

Disclosure Obligations

The question of when and how organizations must disclose AI risks to investors is evolving rapidly. Under existing SEC frameworks, material risks — including AI-related risks — must be disclosed in public company filings. The SEC's interpretive guidance on cybersecurity disclosure provides some framework applicable to AI, and the SEC has signaled interest in developing more specific AI disclosure guidance.

The EU's AI Act, which takes effect progressively through 2026 and beyond, creates disclosure requirements for high-risk AI systems that will affect both AI developers and deployers operating in the EU market. These disclosure requirements — to regulators, to the public, and to affected individuals — represent a significant expansion of AI transparency obligations for covered organizations.


Section 21.9: Governance Maturity Models

Assessing Where You Are

A governance maturity model provides a structured framework for assessing the current state of an organization's AI governance and identifying concrete improvement opportunities. Maturity models are not descriptions of perfection; they are maps of a developmental journey. Organizations at all maturity levels are found across every industry.

Level 1 — Ad Hoc: The organization has no formal AI governance structures. AI development and deployment decisions are made informally, based on individual judgment, without structured review, documentation, or accountability mechanisms. Ethics concerns, if raised at all, are addressed reactively when problems surface. Most organizations that are new to AI deployment, and many that are not, operate at this level.

Level 2 — Developing: The organization has begun to establish AI governance elements: perhaps a principles document, perhaps some early-stage ethics review processes, perhaps a small team with responsible AI in its mandate. But these elements are not fully integrated, not consistently applied, and not backed by meaningful authority or enforcement. Principles exist but are not operationalized into engineering requirements. Review processes exist but have no authority to block deployment. This level is common among organizations that have responded to reputational or regulatory pressure by creating governance structures that are not yet mature.

Level 3 — Defined: The organization has established formal governance structures with clear roles, responsibilities, and processes. An ethics committee or board exists with defined authority. A responsible AI function has adequate staffing and clear mandate. Pre-deployment review processes are defined, consistently applied, and have authority to require remediation. AI principles have been translated into operational requirements. Data governance practices address AI-specific concerns. This level represents a meaningful governance posture, though continuous improvement is required.

Level 4 — Managed: Governance is measured and monitored. The organization tracks AI ethics metrics across its portfolio: bias testing results, pre-deployment review outcomes, post-deployment monitoring data, incident frequency and severity. Governance is data-driven, with regular reporting to leadership and the board. Continuous improvement processes systematically identify and address governance gaps. The organization learns from its own AI governance experience and uses that learning to improve.

Level 5 — Optimizing: Governance drives innovation, rather than merely constraining it. The organization's AI ethics capabilities are a competitive differentiator: customers and partners choose the organization in part because of its demonstrated ethical AI practice. The organization contributes to industry-wide governance standards and shares best practices externally. AI governance is integrated with product strategy, not separate from it. Problems are identified early, before they reach deployment, because governance infrastructure is mature and trusted.

Using the Maturity Framework

The maturity framework is most useful as a diagnostic and planning tool, not as a ranking or certification. Organizations should honestly assess their current level across the different dimensions of AI governance — ethics bodies, responsible AI function, principles and policies, procurement governance, data governance, incentive structures, board oversight — recognizing that different dimensions may be at different maturity levels.

The path forward from any given maturity level is not simply adding more governance structures. It is addressing the underlying enablers: authority, resources, organizational culture, and leadership commitment. A Level 2 organization that adds a new ethics committee without addressing the authority and cultural problems that made its existing governance ineffective has not advanced to Level 3.


Section 21.10: Global Variation in AI Governance Expectations

The Regulatory Landscape as Governance Driver

Corporate AI governance does not exist in a regulatory vacuum. The obligations that external law and regulation impose on organizations are a floor — and increasingly a demanding one — beneath the internal governance choices that organizations make. Understanding the global regulatory landscape is essential for corporate AI governance professionals, because the organizations they govern typically operate across multiple jurisdictions with different and sometimes conflicting AI governance requirements.

The European Union's AI Act, adopted in 2024 and taking effect progressively through 2026 and beyond, is the most comprehensive AI regulatory framework yet enacted. It establishes a risk-based regulatory regime that classifies AI systems into four risk categories: unacceptable risk (prohibited), high risk (subject to extensive requirements), limited risk (subject to transparency obligations), and minimal risk (largely unregulated). High-risk AI systems — including AI used in critical infrastructure, employment, education, law enforcement, migration, and administration of justice — face requirements for human oversight, transparency, accuracy and robustness testing, documentation, and conformity assessment before they can be placed on the EU market.

For corporate governance, the AI Act's most significant implication is that governance requirements are now legally mandated for a large class of AI systems, not merely aspirational. An organization that deploys a high-risk AI system in the EU without conducting the required conformity assessment, maintaining the required technical documentation, or establishing the required human oversight mechanisms is not merely failing an internal governance standard — it is violating EU law. This changes the calculus for governance investment: the question is no longer whether to invest in governance but how to design governance that meets regulatory requirements while serving broader ethical goals.

Comparative Frameworks: US, EU, and China

The United States' approach to AI governance has been primarily sectoral and voluntary at the federal level, with sector-specific regulation from the FTC (consumer protection), EEOC (employment discrimination), CFPB (financial services), and HIPAA (healthcare). Executive Order 14110 on the Safe, Secure, and Trustworthy Development and Use of Artificial Intelligence (2023) marked a significant expansion of federal AI governance policy, directing agencies to develop AI risk guidance and establishing requirements for federal government AI use. China has developed its own AI governance framework, including regulations on algorithmic recommendation systems, deep synthesis (synthetic media), and generative AI services. China's AI governance requirements differ from the EU model in their emphasis on national security and social stability alongside consumer protection, and they include requirements for algorithmic transparency and user rights that in some respects parallel EU requirements. For global organizations deploying AI in China, understanding the Chinese regulatory framework is as essential as understanding the EU AI Act.

Sector-Specific Variation

Within jurisdictions, AI governance requirements vary significantly by sector. Financial services organizations face AI governance expectations from banking regulators — the OCC, Federal Reserve, and CFPB in the United States; the EBA and ECB in Europe — that include specific guidance on model risk management, algorithmic decision-making in credit, and third-party AI risk. Healthcare organizations face guidance from the FDA on AI in medical devices and from OCR on AI applications involving protected health information. Employers face EEOC guidance on AI in employment decisions that clarifies how existing anti-discrimination law applies to algorithmic hiring tools.

Corporate AI governance programs must be calibrated to the specific regulatory environment of each sector in which the organization operates, in each jurisdiction where it deploys AI. This is a complex matrix that requires ongoing legal monitoring and regulatory engagement as frameworks continue to develop.

The Governance Implications of Global Variation

The divergence between regulatory frameworks across jurisdictions creates specific governance challenges. Organizations that design AI systems to meet the EU AI Act's requirements for high-risk AI systems — the most demanding regulatory standard currently in force — will typically exceed the requirements imposed by other jurisdictions. This creates an argument for designing to the highest applicable standard: the governance investment required to meet EU requirements produces governance capability that serves the organization across all jurisdictions.

The alternative approach — designing AI governance to meet the minimum requirements of each jurisdiction — is technically possible but practically problematic. It requires maintaining multiple governance standards for the same types of AI systems, and it creates reputational exposure when the organization's AI practices in less regulated jurisdictions fall below the standards it maintains in more regulated ones. Organizations that publicly commit to ethical AI principles cannot easily defend deploying AI systems in one market that they would not be permitted to deploy in another, even if the law permits it.


Section 21.11: The Ethics of Ethics Governance — Avoiding Institutional Capture

When Governance Structures Serve the Governed

A recurring pattern in the history of corporate governance is institutional capture — the process by which regulatory or oversight bodies come to serve the interests of the industries they are supposed to oversee, rather than the interests of the public they were created to protect. Corporate AI ethics governance faces an analogous capture risk. Ethics boards composed primarily of individuals with close ties to the technology industry may be structurally inclined to approve rather than challenge organizational AI decisions. Responsible AI teams staffed by former AI developers may systematically underestimate the concerns of affected communities. Ethics principles developed without meaningful input from the populations most affected by AI systems — low-income communities, communities of color, people with disabilities, immigrants — may reflect the values and interests of the people who wrote them more than the people they are intended to protect.

Recognizing and resisting institutional capture in AI governance requires deliberate structural choices: genuine representation of affected communities in governance processes, structural independence for ethics functions from commercial pressure, external review of governance processes (not just AI systems), and transparency about governance outcomes that allows external accountability.

The Diversity Imperative in Governance

The diversity deficit in AI development — the well-documented underrepresentation of women, people of color, disabled people, and other marginalized groups among AI developers — has direct governance implications. Teams that are homogeneous in their composition are systematically less likely to identify harms that fall on populations different from their own. The engineer who has never been denied credit cannot easily imagine the experience of facing algorithmic credit denial. The product manager who has never been subject to discriminatory hiring cannot easily design protection against algorithmic hiring discrimination.

This is not primarily a claim about individual bias — it is a claim about collective knowledge. Homogeneous teams have collective blind spots about the experiences of people unlike themselves. Diverse teams, all else being equal, have fewer such blind spots because they include members whose direct experience encompasses a wider range of the situations their AI systems will encounter.

AI governance structures must explicitly address this diversity imperative. Ethics boards that lack diversity are not merely failing an equity goal; they are producing lower-quality governance, because they are missing perspectives essential to identifying the full range of harms their AI systems may cause. Responsible AI teams that lack diversity face the same problem. And AI principles documents developed without meaningful input from diverse communities will systematically underspecify the harms that those communities experience.

  1. The Axon Ethics Board resigned rather than continuing to provide legitimacy to a process they believed was not genuine. Was this the right decision? What alternatives were available to them, and what would those alternatives have accomplished?
